Who We Are

SecondState is an AI Data Platform-as-a-Service (DPaaS) purpose-built for Finance and Accounting firms. We are an agent lab for investigative finance work - helping you Research, Analyze, and Process financial data with AI-powered workflows.

Registration and Access

You must be at least 18 years old and have the legal authority to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you create an account on behalf of an organization, you must have authority to bind that organization to these Terms.

Using Our Services

Subject to these Terms, you may access and use SecondState for lawful purposes only. You agree not to:

• Use the Service in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to any portion of the Service or its systems.
• Reverse engineer, decompile, or attempt to discover the source code of our Services.
• Use the Service to transmit malicious code or harmful data.
• Interfere with or circumvent any security measures or rate limits.

Your Content

You may upload data ("Input") and receive AI-generated outputs based on that data ("Output"). You retain ownership of your Input and own the Output generated for you. You are responsible for ensuring your Input does not violate any laws or these Terms.

AI Outputs and Human Review

SecondState provides tools designed to assist with financial analysis and data processing. However, AI and machine learning are evolving technologies, and outputs may not always be accurate, complete, or appropriate for your specific use case. When using our Services, you understand and agree:

• Outputs require verification. You must evaluate all AI-generated outputs for accuracy and appropriateness before using them in any professional context.
• Human oversight is essential. AI agents are assistants, not replacements for professional judgment. All financial conclusions, recommendations, and decisions should be reviewed by qualified professionals.
• Not professional advice. SecondState does not provide accounting, legal, tax, or investment advice. Our tools assist your analysis—they do not replace licensed professionals.

Transparency: Traces, Audit, and Lineage

We believe in transparency. SecondState provides:

• Execution traces showing the steps agents take during analysis.
• Audit logs recording actions taken within your workspace.
• Data lineage tracking how your data flows through transformations.

These tools are provided to help you understand and verify agent behavior. We encourage you to use them as part of your review process.

Data Privacy and Security

SecondState prioritizes data sovereignty. We implement industry-standard security measures to protect your data. Your data remains yours—we do not use your proprietary financial data to train our models without explicit consent.

Limitation of Liability

To the maximum extent permitted by law, SecondState and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities.

You accept that use of AI outputs is at your own risk. SecondState is not responsible for decisions made based on agent outputs, even when those outputs are incorrect or incomplete. Our aggregate liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE." We make no warranties, express or implied, regarding the accuracy, reliability, or suitability of AI outputs for any particular purpose. We do not warrant that the Service will be uninterrupted or error-free.

Termination

You may stop using our Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use poses risk to SecondState or other users. We will provide reasonable notice when possible.

Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or in-product notification. Continued use after changes take effect constitutes acceptance of the new Terms.
