Terms of Service
These terms govern access to SecondState's finance data platform, analytics workflows, and AI-assisted outputs.
1. Acceptance of Terms
By accessing or using SecondState, you agree to these Terms of Service. If you use SecondState on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
SecondState provides software for finance data transformation, project workspaces, guided analytics, draft deliverables, lineage review, and AI-assisted analysis over uploaded files and project data.
3. Accounts and Access
You are responsible for maintaining accurate account information, protecting credentials, and managing access for your users. You must promptly notify us of unauthorized access or suspected compromise.
4. Customer Data and Uploaded Files
You retain ownership of the files, data, prompts, instructions, and other materials you upload or provide to SecondState. You are responsible for ensuring you have the rights and permissions needed to process that data through the service.
5. AI, Analytics, and Generated Outputs
SecondState may generate summaries, charts, tables, SQL, transformations, draft text, recommendations, and other outputs based on your data and instructions. Generated outputs may contain errors, omissions, or incomplete assumptions.
6. Human Review Requirement
You must review and validate generated outputs before relying on them for financial, legal, investment, tax, accounting, operational, or strategic decisions. SecondState does not replace professional judgment or independent verification.
7. Generated SQL, Code, and Transformations
Any generated SQL, code, dbt-like models, calculations, or data transformations should be inspected, tested, and approved before use. You are responsible for confirming that transformations are accurate, complete, and appropriate for your workflows.
8. Confidentiality and Security
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to provide or receive the service, comply with law, or enforce these Terms.
9. Acceptable Use
You may not use SecondState to violate law, infringe rights, upload malicious content, attempt unauthorized access, interfere with the service, or process data in a way that exceeds your permissions or contractual obligations.
10. Third-Party Services
SecondState may interoperate with third-party services such as authentication providers, model providers, databases, storage services, analytics tools, and deployment platforms. Your use of those services may be governed by separate terms.
11. Fees and Trials
If your use of SecondState is subject to fees, trial limits, or usage limits, those commercial terms will be described in an order form, subscription agreement, invoice, or other written agreement between you and SecondState.
12. Suspension and Termination
We may suspend or terminate access if necessary to protect the service, comply with law, prevent security risk, address non-payment, or respond to material breach of these Terms.
13. Disclaimers
SecondState is provided on an as-is and as-available basis except as expressly stated in a separate written agreement. We do not warrant that outputs will be error-free, complete, or suitable for any particular decision or purpose.
14. Limitation of Liability
To the maximum extent permitted by law, SecondState will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.
15. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify users or update the effective date on this page.
